WorldCall Telecom Limited (WTL) has completed the operational procedures for its Court-sanctioned capital reduction and consequential stock split, marking an important step in rationalizing the Company’s capital structure and strengthening its financial foundation for future growth.

The restructuring was designed as an internal accounting reorganization to address accumulated losses, unrepresented capital and discount on share capital that had built up on the balance sheet over time. Under the integrated transaction, WTL implemented a 90% capital reduction followed by a consequential 1-to-10 stock split. Following completion of both stages, shareholders’ overall number of shares remains substantially unchanged, subject only to the Court-approved treatment of fractional balances.
Importantly, the transaction does not involve the issuance of new shares, distribution of assets or transfer of value between shareholders. Proportional ownership, voting rights and financial rights remain unchanged. The exercise is also non-cash in nature, with WTL’s liquidity, operational assets and obligations to creditors remaining unaffected.
